Terms and Conditions

1. Acceptance of Terms

By accessing or using Ekhos ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including but not limited to visitors, registered users, and organizations.

Ekhos reserves the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Service Description

Ekhos is a Unified Cross-Platform Broadcast Center that enables users to draft, schedule, and audit rich-text messages for simultaneous delivery to multiple channels across Slack, Microsoft Teams, and Google Chat.

2.1 Core Functionality

  • Unified Composer: Rich text editor supporting formatting, emojis, and media attachments
  • Cross-Platform Delivery: Automatic translation of messages to platform-specific formats (Slack Block Kit, MS Teams Adaptive Cards, Google Chat Cards)
  • Channel Selection: Unified interface to select channels across all connected platforms
  • Scheduling: Ability to send messages immediately or schedule for future delivery
  • Audit Logs: Comprehensive tracking of all message deliveries with status and timestamps

2.2 Service Availability

While we strive to provide continuous service availability, Ekhos does not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned maintenance in advance.

3. User Accounts and Authentication

3.1 OAuth User Authentication

Ekhos uses OAuth 2.0 user-based authentication to connect to Slack, Microsoft Teams, and Google Chat. By connecting your accounts, you authorize Ekhos to:

  • Read your list of accessible channels, workspaces, and teams
  • Send messages on your behalf to channels you have access to
  • Upload files and media to channels you have access to

Important: Messages sent through Ekhos will appear as if sent directly by you, not by a bot. You are fully responsible for all messages sent using your authenticated account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

  • Use a strong, unique password for your Ekhos account
  • Notify us immediately of any unauthorized access or security breach
  • Not share your account credentials with others
  • Log out from shared or public computers

3.3 Account Termination

You may terminate your account at any time by contacting us at support@ekhos.io. Upon termination, we will delete your OAuth tokens and personal data in accordance with our Privacy Policy. Audit logs may be retained for compliance purposes as required by law.

4. User Responsibilities and Acceptable Use

4.1 Proper Use of Broadcasting

You agree to use Ekhos responsibly and in compliance with all applicable laws. You must not:

  • Send spam, unsolicited messages, or marketing content without proper consent
  • Broadcast messages containing illegal, harmful, threatening, abusive, or defamatory content
  • Violate any platform's terms of service (Slack, Microsoft Teams, Google Chat)
  • Impersonate others or misrepresent your identity or affiliation
  • Send messages that infringe on intellectual property rights
  • Use the Service to distribute malware, viruses, or malicious code
  • Attempt to circumvent rate limits or abuse the Service

4.2 Content Responsibility

You are solely responsible for the content of all messages sent through Ekhos. You represent and warrant that:

  • You have the right to send the content to the selected recipients
  • Your content does not violate any third-party rights
  • Your content complies with all applicable laws and regulations
  • You have obtained necessary consents for sending messages to external channels

4.3 Channel Selection Accuracy

You must exercise care when selecting destination channels. Ekhos provides tools to help you avoid accidental broadcasts (e.g., manual selection, channel groups), but you are ultimately responsible for ensuring messages are sent to appropriate recipients.

5. Data Usage and Privacy

5.1 Data Collection

Ekhos collects and processes the following data:

  • OAuth Tokens: Access and refresh tokens for connected platforms (encrypted at rest using AES-256)
  • Message Content: Text, formatting, emojis, and media attachments you choose to broadcast
  • Channel Data: Lists of channels, workspaces, and teams you have access to
  • Audit Logs: Delivery status, timestamps, and error messages for all broadcasts
  • Account Information: Email address, name, and profile information from connected platforms

5.2 Data Usage

We use your data solely to:

  • Deliver messages to your selected channels
  • Maintain audit logs for accountability and compliance
  • Improve the Service and troubleshoot issues
  • Communicate with you about the Service

We do not sell, rent, or share your data with third parties except as required to provide the Service (e.g., sending messages via Slack, Teams, or Google Chat APIs) or as required by law.

5.3 Data Retention

Message content is retained temporarily during the delivery process and then deleted. Audit logs are retained for compliance purposes. OAuth tokens are stored securely and deleted upon account termination. For detailed information, see our Privacy Policy.

6. Platform Integration and Third-Party Services

6.1 Third-Party Terms

Your use of Ekhos in connection with Slack, Microsoft Teams, and Google Chat is subject to the respective terms of service of those platforms:

You are responsible for complying with all third-party terms. Ekhos is not responsible for any violations of third-party terms or any actions taken by third-party platforms.

6.2 Platform Changes

Third-party platforms may change their APIs, policies, or features at any time. While we make reasonable efforts to adapt to such changes, we cannot guarantee continuous compatibility or functionality with all platform features.

7. Rate Limiting and Service Availability

7.1 Rate Limit Orchestration

To comply with platform rate limits and prevent service disruptions, Ekhos implements intelligent rate limiting:

  • Slack: Maximum 1 message per second per workspace
  • Microsoft Teams: Exponential backoff with respect for Retry-After headers
  • Google Chat: Staggered delivery to respect per-user quotas

Large broadcasts may take several minutes to complete. Ekhos uses asynchronous job processing to ensure efficient delivery without blocking your workflow.

7.2 Fair Use

Ekhos reserves the right to implement usage limits to ensure fair access for all users and to prevent abuse. Excessive usage that impacts service performance may result in temporary throttling or account suspension.

8. Intellectual Property

8.1 Ekhos Intellectual Property

All rights, title, and interest in and to the Service, including all software, designs, trademarks, and content (excluding user-generated content), are owned by Ekhos. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our express written permission.

8.2 User Content

You retain all rights to the content you create and broadcast through Ekhos. By using the Service, you grant Ekhos a limited, non-exclusive license to process and deliver your content as necessary to provide the Service.

8.3 Trademarks

"Ekhos" and the Ekhos logo are trademarks of Ekhos. Slack, Microsoft Teams, and Google Chat are trademarks of their respective owners. Use of these trademarks does not imply endorsement.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Ekhos does not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • All messages will be delivered successfully
  • The Service will be compatible with all platforms or devices
  • Defects will be corrected

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EKHOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL EKHOS'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO EKHOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.3 User Responsibility

You acknowledge that you are solely responsible for:

  • The accuracy and appropriateness of message content
  • Selecting correct destination channels
  • Compliance with applicable laws and third-party terms
  • Any consequences of messages sent through the Service

10. Indemnification

You agree to indemnify, defend, and hold harmless Ekhos and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you broadcast through the Service

11. Termination

11.1 Termination by User

You may terminate your account at any time by contacting support@ekhos.io. Upon termination, your access to the Service will cease, and your data will be handled according to our Privacy Policy.

11.2 Termination by Ekhos

Ekhos reserves the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees (if applicable)
  • Extended periods of inactivity

11.3 Effect of Termination

Upon termination, all licenses granted to you will immediately cease. Provisions of these Terms that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will continue to apply.

12. Changes to Terms

Ekhos reserves the right to modify these Terms at any time. We will notify users of material changes by:

  • Posting the updated Terms on our website
  • Sending email notifications to registered users
  • Displaying in-app notifications

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ekhos is registered, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through:

  1. Informal Negotiation: Contact us at legal@ekhos.io to attempt resolution
  2. Mediation: If informal negotiation fails, parties agree to attempt mediation
  3. Arbitration or Litigation: As a last resort, disputes may be resolved through binding arbitration or litigation in the appropriate jurisdiction

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ekhos regarding the Service and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. Ekhos may assign these Terms without restriction.

14.5 Force Majeure

Ekhos shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
